Subject : Notification about Schedule of Subscription and payment of Newly Issued Ordinary Shares
To : The President
The Stock Exchange of Thailand (SET).
The Union Mosaic Industry Public Company Ltd. (The Company) would like to inform the
resolution of the Extraordinary General Meeting of Shareholders No. 1/ 2003 held on September 23rd, 2003
that the registered capital of the Company will be increased from 320 million Baht to 576 million Baht by
issuing ordinary shares amount 25.6 million shares par value at 10.00 Baht each and the allotment of the
Company's newly issued shares will be as the following matters:
1. Amount 16 million shares to support for converting of convertible debenture.
2. Amount 9.6 million shares to issue and offer for sales to existing shareholders and the allotment will be
according to the followings:
2.1 Allotment ratio of 5 existing ordinary shares to 1 newly issued share at the exercise price of 12.50
Baht per share.
2.2 Amount or fraction of existing ordinary shares that is less than 5 shares will not be allocated.
2.3 Amount of newly issued shared that is left from this issuance,wil be allocated according to the
Board of Directors and / or the authorized persons that the Boards of Directors appointed.
2.4 The closing date of the share register book in order to suspend the transfer of shares for the right
to subscribe newly issued shares is set on October 3rd, 2003 at 12.00 hrs.
2.5 Schedule of subscription and payment of newly issued ordinary shares will be on January 14th,
2004 to January 20th, 2004 from 8.30 a.m. - 5.00 p.m. at Newly Issued Ordinary Shares'
Subscription Department, the office is at 29th floor, Chamnan Phenjati Business Center Building, 65
Rama 9th Road, Huaykwang, Bangkok 10320.
3. Existing shareholders who desire to exercise their right, they have to completely fill in Subscription Form for
newly issued ordinary shares. In case of institutional investors, authorized signature with the official
seal is required (if any). Subscription Certificate should be enclosed and full payment should be paid
according to amount of subscribed shares. Payment shall be made in Bank Cheque / Cashier Cheque /
Draft and payable to " The Union Mosaic Industry Public Company Ltd. for subscribing to newly
issued ordinary shares" by specific cross cheque and dated in cheque according to subscription
date, which amount of money in cheque can be collected from the Office of Clearing House in the
Bangkok Metropolitan area only, togather with Subscription Form of newly issued ordinary shares shall
be sent by answer back registered mail to:

During the period of January 14th, 2004 to January 20th, 2004.
In case existing shareholders who desire to subscribe newly issued ordinary shares less than right
offering, this can be done by filling in Subscription Form and Subscription Certificate of newly issued
ordinary shares together with fully payment according to the subscription's amount.
For the convenience in subscription of newly issued shares, please write down name - surname
and contacted telephone number on the back of cheque that will be paid for subscribing to newly
issued shares.
4. The shareholders who do not exercise their right to subscribe newly issued ordinary shares, or do not make
a payment within the specific time, or Bank Cheque / Cashier Cheque / Draft that are made for a
payment of newly issued shares, can not be collected for the money according to the posted dated.
The Company shall consider that the said shareholders renounce their rights to exercise the
subscription to this newly issued ordinary shares.
